Hainan Mining to acquire 69.90% stake in Fengrui Fluorine Industry

Hainan Mining plans to acquire a 69.8959% stake in Fengrui Fluorine Industry through a combination of share issuance and cash payment. The company also intends to raise matching funds by issuing shares to no more than 35 specific investors. The transaction values the 69.90% stake at RMB1.45 billion (USD214 million). Upon completion, Fengrui will become a controlled subsidiary of the listed company.
Based in Luanchuan County, Henan Province, Fengrui Fluorine Industry focuses on the investment and development of fluorspar mines, as well as the production and sale of fluorspar products. Its main offerings include fluorspar fine powder, fluorspar lump ore, and anhydrous hydrogen fluoride. As of the end of 2025, the company holds eight mining rights, with 13.5 million tonnes of ore resources and 6.35 million tonnes of mineral reserves. It is one of the few large, single-ore fluorspar mines in China, with an average grade of 47.07%. Its resource reserves rank fourth nationwide, trailing only Jinshi Resources, Xinjiang Nonferrous, and Longxing Mining.
Through this acquisition, Hainan Mining will expand into the fluorspar mining sector, enriching its portfolio of strategic mineral resources beyond its existing asset base.
