Haida Rubber and Plastic purchases 95% shares of KENO

Jiangyin Haida Rubber and Plastic Limited released on the evening of June 29th that they would purchase 95.3235% shares of KENO through issuing shares and cash payment; the transaction price was set at RMB329.3482 million primarily, including RMB107.1595 million for cash and RMB222.1888 million which would be paid through issuing 14,071,473 shares at RMB15.79/share. Meanwhile, the company would raise no more than RMB222 million through private placement.
Main products of KENO are guide rail profiles of skylights of high precision automobiles and special tubular material, bar material and section material of high-performance automobiles which are widely used by famous automobiles manufacturers such as BMW, Benz, Audi, Volkswagen, GM, Ford. Haida Rubber and Plastic can stimulate its business in automobile field through the acquisition of KENO and will continue to conduct strategic layout in automobile field in the future in order to promote the performance growth.
Haida Rubber and Plastic resumed transaction of its shares from June 30th (last Friday) after the application to Shenzhen Stock Exchange.
